Commit Guard Developer EULA

This End User License Agreement ("EULA") is between Shopycorn Ltd ("Shopycorn", "we", "our", or "us") and the individual or entity that installs, accesses, or uses Commit Guard ("you" or "your").

1. Scope

This EULA governs your use of the Commit Guard plugin for IntelliJ-based IDEs, including Free and Platinum features made available through JetBrains Marketplace or through an expressly permitted development override.

JetBrains s.r.o. is not a party to this EULA and is not responsible for Commit Guard, its support, or its operation.

2. License Grant

Subject to this EULA and any applicable subscription or entitlement terms, Shopycorn grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use Commit Guard for your internal development and review activities.

3. Free and Platinum Editions

Commit Guard may be made available in multiple editions.

• Free includes the features that Shopycorn makes available without a paid Marketplace entitlement.
• Platinum includes features that require a valid paid JetBrains Marketplace entitlement or another entitlement path expressly authorized by Shopycorn for development or testing.

Feature availability may change between releases, provided that such changes remain consistent with the applicable paid or unpaid entitlement status.

4. License Restrictions

You may not:

• copy, resell, rent, lease, sublicense, distribute, or make the plugin available to third parties except as permitted by applicable law
• reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the plugin, except to the limited extent that such activity is expressly permitted by applicable law
• remove or alter copyright, trademark, attribution, or license notices
• use the plugin to violate law, regulation, third-party rights, or security controls
• use the plugin in a way that bypasses or attempts to bypass feature gating, entitlement checks, or usage restrictions

5. Third-Party Services and Models

Commit Guard may connect to third-party services, model providers, local runtimes, package registries, or infrastructure tools, including but not limited to Ollama, OpenAI, GitHub services, and Sonatype Nexus IQ.

Your use of those services is governed by the terms, policies, pricing, and privacy practices of the relevant third party. Shopycorn is not responsible for the availability, accuracy, security, or conduct of those third-party services.

6. Data and Outputs

Commit Guard may process source code, commit diffs, prompts, workflow metadata, model outputs, telemetry, and configuration data in order to provide its features.

You remain responsible for:

• the legality of the content you submit to the plugin or to connected model providers
• your review and validation of all generated findings, summaries, classifications, and recommendations
• your decision to act on or ignore plugin outputs

AI-assisted findings and recommendations are advisory unless you explicitly configure enforcement behavior.

7. Subscriptions, Payments, and Termination of Paid Access

Paid features require a valid paid entitlement through JetBrains Marketplace unless Shopycorn expressly authorizes another entitlement path.

If your paid entitlement expires, is cancelled, or becomes invalid:

• paid features may stop working or revert to the Free feature set
• locally stored settings may be preserved, but access to gated features may be disabled
• no refund rights are created under this EULA beyond those required by applicable law or provided through the applicable marketplace terms

8. Support and Updates

Shopycorn may provide updates, patches, changes, new features, or support at its discretion. We are not obligated to continue any feature, workflow, integration, or provider indefinitely.

9. Intellectual Property

Commit Guard is licensed, not sold. Shopycorn and its licensors retain all right, title, and interest in and to Commit Guard, including all intellectual property rights.

No rights are granted except those expressly stated in this EULA.

10. Disclaimer of Warranties

To the maximum extent permitted by applicable law, Commit Guard is provided "as is" and "as available", without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or uninterrupted operation.

Shopycorn does not warrant that:

• the plugin will be error-free or uninterrupted
• findings or workflow decisions will be complete, accurate, or suitable for your needs
• integrations with providers, IDE APIs, or third-party systems will remain available

11. Limitation of Liability

To the maximum extent permitted by applicable law, Shopycorn shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, business opportunity, or business interruption, arising out of or related to Commit Guard or this EULA.

To the maximum extent permitted by applicable law, Shopycorn's total aggregate liability arising out of or relating to Commit Guard or this EULA shall not exceed the amount you paid for Commit Guard during the twelve months preceding the event giving rise to the claim, or GBP 50 if you paid nothing.

Nothing in this EULA excludes liability that cannot be excluded under applicable law.

12. Termination

This EULA remains in effect until terminated. It terminates automatically if you materially breach it. You may terminate it at any time by uninstalling and ceasing all use of Commit Guard.

Upon termination, you must stop using the plugin. Sections that by their nature should survive termination will survive, including sections relating to restrictions, intellectual property, disclaimers, limitations of liability, and governing law.

13. Export and Compliance

You are responsible for complying with all applicable trade, sanctions, export control, and compliance laws in connection with your use of Commit Guard and any connected services.

14. Governing Law

This EULA is governed by the laws of England and Wales, without regard to conflict-of-law rules. Courts located in England and Wales shall have exclusive jurisdiction unless applicable consumer law requires otherwise.

15. Changes to This EULA

Shopycorn may update this EULA from time to time. The version published at the current public EULA URL will govern future installations and updates, subject to applicable law and marketplace rules.
